By creating an account, accessing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract under applicable law to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.
3. Account Registration and Security
To access certain features of the Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information to keep it accurate and complete;
- Maintain the security and confidentiality of your login credentials;
- Notify us immediately of any unauthorized use of your account;
- Accept responsibility for all activities that occur under your account.
Cylier reserves the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.
By creating an account, you expressly acknowledge that the Services are provided solely for informational and analytical purposes. You understand that property analyses, ROI estimates, and investment insights generated by the Services do not constitute financial, investment, real estate, or legal advice, and that any investment decisions you make are solely your own responsibility. You agree that Cylier shall not be liable for any investment losses, financial damages, or other consequences arising from your reliance on information provided through the Services.
4. Description of Services
Cylier provides a real estate investment analysis platform that uses automated data aggregation and artificial intelligence to generate property analyses, including but not limited to:
- Return on investment (ROI), cash flow, and cap rate calculations;
- Rental income estimates and market comparisons;
- Property data aggregation from third-party sources;
- AI-generated investment insights, reports, and recommendations;
- Automated property alert notifications.
The Services are provided for informational and analytical purposes only and do not constitute financial, investment, legal, or real estate advice.
5. Subscriptions and Payment
5.1 Subscription Plans
Access to certain features of the Services requires a paid subscription. Subscription plans, features, and pricing are described on our website and may be modified from time to time at our sole discretion.
5.2 Billing and Payment
By subscribing to a paid plan, you authorize Cylier to charge your designated payment method on a recurring basis (monthly or annually, as applicable). All fees are stated in U.S. dollars and are non-refundable except as expressly set forth herein or as required by applicable law.
5.3 Free Trials
If we offer a free trial, you will not be charged during the trial period. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be charged at the then-current rate.
5.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. No refunds or credits will be issued for partial billing periods.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable local, state, national, or international law or regulation;
- Infringe upon the intellectual property or proprietary rights of any third party;
- Reverse engineer, decompile, or disassemble any aspect of the Services;
- Scrape, crawl, or use automated means to access the Services or extract data, except as expressly permitted;
- Interfere with or disrupt the integrity or performance of the Services;
- Attempt to gain unauthorized access to any systems or networks connected to the Services;
- Resell, redistribute, or sublicense any data, analyses, or reports generated by the Services without our prior written consent;
- Use the Services to engage in any fraudulent, deceptive, or misleading activity.
7. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software, algorithms, data compilations, and AI models — are the exclusive property of Skyrunners Inc (dba Cylier) or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms. This license does not include the right to modify, reproduce, distribute, or create derivative works from the Services or any content therein.
8. AI-Generated Content Disclaimer
Certain features of the Services utilize artificial intelligence and machine learning technologies to generate analyses, estimates, and recommendations. You acknowledge and agree that:
- AI-generated content is produced algorithmically and may contain errors, inaccuracies, or omissions;
- AI-generated analyses do not constitute professional financial, investment, legal, or real estate advice;
- All analyses, estimates, and recommendations are based solely on market data available at the time the analysis was conducted and may not reflect current or future market conditions;
- You should independently verify all information and consult with qualified professionals before making any investment or financial decisions;
- Cylier does not guarantee the accuracy, completeness, or reliability of any AI-generated content;
- Past performance data and projections are not indicative of future results;
- Cylier is not responsible for any investment losses, financial damages, or other liabilities arising from your reliance on AI-generated analyses or recommendations, regardless of whether such losses result from errors in the data, changes in market conditions after the analysis was conducted, or any other cause.
9. Data Accuracy and Third-Party Sources
The Services aggregate data from various third-party sources, including public records, MLS databases, and other data providers. Cylier does not independently verify the accuracy of third-party data and makes no representations or warranties regarding its completeness, accuracy, or timeliness.
All property analyses, valuations, rental estimates, ROI projections, and market comparisons generated by the Services represent a point-in-time snapshot based on data available at the time the analysis was conducted. Such analyses may become outdated as market conditions, property values, interest rates, and other factors change over time.
Cylier expressly disclaims any responsibility or liability for investment decisions made in reliance on data or analyses provided through the Services, including any losses incurred as a result of market changes occurring after an analysis was conducted or due to inaccuracies in third-party source data.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Cylier does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Cylier does not warrant that the results obtained from the use of the Services will be accurate or reliable.
No advice or information, whether oral or written, obtained from Cylier or through the Services shall create any warranty not expressly stated in these Terms.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKYRUNNERS INC (DBA CYLIER), ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF CYLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the foregoing, Cylier shall not be liable for any investment losses, loss of capital, lost profits, or other financial damages of any kind resulting from: (a) reliance on any property analysis, estimate, recommendation, or other content generated by the Services; (b) inaccuracies or incompleteness in data sourced from third parties; (c) changes in market conditions, property values, interest rates, or other factors occurring after an analysis was conducted; or (d) any investment or financial decision made based on information provided through the Services. The Services are analytical tools only — all investment decisions and their consequences are solely your responsibility.
In no event shall Cylier's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of (a) the total amount paid by you to Cylier during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless Skyrunners Inc (dba Cylier), its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights, including intellectual property rights.
13. Termination
Cylier may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by contacting us or through your account settings. Sections 7 through 12, 14, and this Section 13 shall survive any termination of these Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by JAMS in Los Angeles County, California, in accordance with its Streamlined Arbitration Rules and Procedures. The arbitrator's decision shall be final and binding.
You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. Modifications to Terms
Cylier reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.
